Medtronic says the spinoff is an opportunity to better position both entities and create value.

“These initial actions are needed to start turning the company around," new CEO Roy Jakobs said in a statement. 

The partnership comes just a few months after Oracle completed its $28.3 billion acquisition of Cerner in June.

The healthcare provider allegedly billed for toxicology tests performed by outside labs for government health programs. 

“Today’s enforcement actions represent a significant step for the FDA in preventing tobacco product manufacturers from violating the law,” one FDA official said.
