Endo to acquire American Medical Systems

Endo Pharmaceuticals and American Medical Systems (AMS) announced that they have entered into a definitive agreement.

Accoding to the agreement, Endo will acquire AMS, a Minnetonka, Minn.-based provider of devices and therapies for male and female pelvic health, for $30 per share, or $2.9 billion in cash, which includes the assumption and repayment of $312 million of AMS debt.

Endo has fully committed financing in place to complete the transaction, according to the Newark, Del.-based company.
